Pohla & Hallmagi Successfully Represents Rein Valk and Luite Arendus Before Supreme Court

Pohla & Hallmagi has successfully represented Rein Valk and Luite Arendus OU before the Civil Chamber of the Supreme Court of Estonia against Harju Infra OU in a case concerning limitation periods applicable to claims between companies and shareholders.

According to Pohla & Hallmagi, in its June 11, 2025, decision in Harju Infra OU (bankrupt) v. Rein Valk and Luite Arendus OU, the court held that a company’s claim against a shareholder as well as claims between shareholders generally expire after three years. The ten-year limitation period can only be applied in exceptional cases where the shareholder’s actions involved intentional misconduct contrary to good morals. The court further emphasized that the mere fact of overlapping management or control within the company does not suffice to prove intent or to justify invoking the extended limitation period.
